By accessing or using Material Magician ("the Service"), operated by Material Magician LLC, you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

Material Magician is an AI-powered procurement platform that assists businesses in discovering suppliers, generating requests for quotation, and negotiating pricing for materials and products. The Service uses artificial intelligence agents to automate portions of the procurement workflow.

3. Account Registration

You must create an account and provide accurate information. You are responsible for maintaining the security of your account credentials and for all activity under your account.

4. Billing and Payments

The Service offers multiple billing tiers including success-fee, subscription, and credit-pack models. By subscribing or purchasing credits, you authorize us to charge your payment method. Subscription fees are billed in advance on a monthly basis. Success fees are charged upon verified savings delivery. All fees are non-refundable except as required by law.

The Service uses AI to generate supplier communications, analyze quotes, and produce recommendations. While we strive for accuracy, AI-generated content may contain errors. You are responsible for reviewing all communications before they are sent on your behalf and for verifying pricing and supplier information independently.

The Service, including its AI models, algorithms, user interface, and branding, is the property of Material Magician LLC. Your data and uploaded content remain yours.

8. Limitation of Liability

To the maximum extent permitted by law, Material Magician shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to lost profits, procurement losses, or supplier disputes.

9. Termination

We may suspend or terminate your account at any time for violation of these Terms. You may cancel your account at any time through your dashboard settings. Upon cancellation, your data will be retained for 30 days before deletion.

10. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or through the Service. Continued use after changes constitutes acceptance.

These Terms are governed by the laws of the State of Missouri, United States.
